Halifax, Nova Scotia
ClientMaritime Solar (the “Client”)

1. Term
This Agreement begins on the date the Client signs it (the “Effective Date”) and runs for six (6) consecutive months. It may be renewed or extended only by written agreement of both parties.
2. Services
During the Term, Pinnacle will provide the following services (the “Services”):
- Posting. Three (3) posts per week published to the Client's Facebook Page and Instagram account, including captions, hashtags, scheduling and publishing.
- Editing. Editing of photos and video provided by the Client into finished posts, including colour correction, cropping, short-form video (Reels), and branded text or overlays.
- Coaching and education. Ongoing guidance to the Client and its staff on capturing content, including a job-site shot list, practical phone photography and video techniques, and feedback on submitted content.
- On-site content assistance. One (1) to two (2) visits per month to the Client's job sites or premises in Nova Scotia, each up to four (4) hours, to help capture content and coach staff in person. Visits are scheduled by mutual agreement with at least five (5) business days' notice. Unused visits do not carry over to later months unless Pinnacle agrees in writing.
3. Not Included
Unless added in writing, the Services do not include: paid advertising or ad spend; responding to comments or direct messages; platforms other than Facebook and Instagram; website work; or professional video production beyond the on-site assistance described above.
4. Fees and Payment
- The Client will pay $1,500.00 CAD per month, plus applicable HST, for six (6) months — a total of $9,000.00 CAD plus HST.
- Pinnacle invoices monthly in advance. The first invoice is due on the Effective Date; each later invoice is due on the same day of each following month.
- If an invoice is more than ten (10) days overdue, Pinnacle may pause the Services, after written notice, until payment is received. Pausing does not extend the Term or reduce the fees owed.
5. What We Ask of the Client
- Provide raw photos and video regularly enough to support three posts per week.
- Give Pinnacle the access needed to publish to the Client's Facebook Page and Instagram account (for example, through Meta Business Suite). The Client keeps ownership of and full control over its accounts at all times.
- Review the monthly content calendar and respond to approval requests within two (2) business days. If no response is received in that time, Pinnacle may publish the scheduled content as proposed.
- Supply accurate information about products, pricing, rebates, financing and claims. The Client is responsible for the accuracy of the information it provides.
- Obtain any permission needed from homeowners, customers or staff before their property, likeness or project appears in content, and confirm to Pinnacle that it has done so.
- Provide safe access to job sites, including any site safety orientation and required protective equipment. Pinnacle's team will follow the Client's site safety rules and will not work at heights or on rooftops.
6. Ownership of Content
The Client owns the raw content it provides. Once paid for, the Client owns the finished posts Pinnacle creates for it. Pinnacle may show the work in its own portfolio and marketing unless the Client asks it not to in writing.
7. Results
Pinnacle will perform the Services with professional care and skill. Because social media performance depends on platform algorithms, market conditions and other factors outside its control, Pinnacle does not guarantee any specific number of followers, engagement, leads or sales.
8. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for this Agreement. On the Client's request at the end of the Term, Pinnacle will return or delete the Client's materials and remove its own access to the Client's accounts.
9. Ending Early
- This is a six-month commitment. Either party may end this Agreement early if the other materially breaches it and does not fix the breach within fourteen (14) days of written notice.
- If the Client ends the Agreement early for any other reason, the fees for the remainder of the Term become due.
- If Pinnacle ends the Agreement for any reason other than the Client's breach, the Client owes nothing further, and Pinnacle will refund any prepaid fees for services not yet delivered.
10. Limit of Liability
Neither party is liable for indirect or consequential losses, including lost profits. Each party's total liability under this Agreement is limited to the fees paid by the Client in the three (3) months before the claim arose.
11. General
- Pinnacle is an independent contractor, not an employee or partner of the Client.
- This Agreement is governed by the laws of the Province of Nova Scotia and the federal laws of Canada that apply there.
- Notices may be given by email to the address each party provides when signing or on Pinnacle's invoices.
- This Agreement is the whole agreement between the parties about the Services and may be changed only in writing signed by both.
- The parties agree to sign electronically, and an electronic signature has the same effect as a handwritten one.
